Terms and Conditions

1. About Aurea
Aurea is a technology platform that enables users to create, list, promote, sell tickets for, and join events. Unless expressly stated in writing, Aurea is not the organizer of any event and does not control or guarantee event content, safety, legality, quality, timing, or availability. Each event is the sole responsibility of the organizer.
2. Eligibility & Accounts
You must be able to form a binding contract and meet any age or access restrictions set by an organizer or by law (e.g., alcohol-related events).
You agree to provide accurate account information and to keep credentials confidential. You are responsible for activity under your account.
Aurea may suspend or terminate accounts that violate these Terms, applicable law, or present fraud/abuse risks.
3. Accounts
To use Aurea, you must create an account and provide accurate, up-to-date information.
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
Aurea reserves the right to suspend or terminate any account that violates these Terms or is involved in fraudulent, abusive, or illegal activity.
4. Tickets, Access & Resale
A ticket (including any QR code) is a revocable license to access an event. Duplicated, altered, or fraudulently obtained tickets are void.
Organizers/venues may refuse or revoke access for legitimate reasons (e.g., safety, age limits, breach of venue rules).
Unauthorized resale or scalping is prohibited unless permitted by applicable law and by the organizer.
5. Payments and Fees
All payments on Aurea are processed securely through Stripe.
Aurea does not store or have access to your payment information.
Aurea collects a service fee on each ticket sold.
By purchasing a ticket, you agree that this fee is non-refundable once the transaction is completed.
6. Refunds, Cancellations & Event Changes
Refunds are governed by the organizer's refund policy displayed before purchase and applicable law.
If an organizer cancels an event, refunds (if any) are processed per that policy. Service/processing fees may be non-refundable except as required by law.
If an event is rescheduled or materially changed, organizers must communicate options (e.g., transfer, refund per policy).
Requests should be submitted before the event starts; after commencement, tickets are typically non-refundable.
7. Organizer Responsibilities
Organizers agree to:
- Ensure listings are accurate, lawful, and clear (date/time, venue, restrictions, refund policy, price/taxes/fees).
- Comply with laws (permits, safety, capacity, accessibility, alcohol/age rules, consumer protection).
- Handle participant support (inquiries, cancellations, refunds where applicable).
- Indemnify Aurea from claims arising from their events, listings, conduct, taxes, or legal breaches (see §13).
8. Acceptable Use & User Content (UGC)
You will not post or transmit illegal, hateful, harassing, infringing, deceptive, or spam content, or attempt to bypass ticketing/access controls.
You grant Aurea a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and display your content solely to operate and improve the App and promote listed events.
Aurea may remove content or suspend access at its discretion for policy or legal violations.
9. Privacy
Your personal data is processed per our Privacy Policy (which incorporates obligations under Québec's Loi 25 and Canada's PIPEDA/LPRPDE), including purposes, legal bases, retention, security, incident notification, and your rights (access/rectification and, where applicable, deletion/portability). By using the App, you agree to that policy.
10. Intellectual Property
The App, software, and branding are the intellectual property of Aurea Innovations Inc. You may not copy, reverse engineer, scrape, or exploit the App except as permitted by these Terms. Event materials remain the property of their respective owners.
11. Service Availability & Changes
The App is provided "as is" and "as available." We may introduce, modify, or discontinue features (including beta features) and may perform maintenance that temporarily affects availability.
12. Liability Disclaimer & Limitation
To the maximum extent permitted by law:
- Aurea disclaims all warranties (merchantability, fitness, non-infringement, uninterrupted access).
- Aurea is not liable for indirect, incidental, special, punitive, or consequential damages, lost profits, loss of data, or costs of substitute services.
- Aggregate cap: Aurea's total liability for direct damages is limited to the greater of (i) the Aurea service fees you paid in the preceding 12 months or (ii) 250 CAD.
13. Indemnification
You (and, for events, the Organizer) agree to indemnify, defend, and hold harmless Aurea and its affiliates from claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from your events, content, use of the App, tax obligations, or breach of these Terms or law.
14. Termination & Suspension
We may suspend or terminate access at any time for violations, suspected fraud/abuse, or legal/security reasons. You may stop using the App at any time. Sections that by nature should survive (e.g., payments due, IP, limitation, indemnity, governing law) survive termination.
15. Governing Law & Venue; Informal Resolution
These Terms are governed by the laws of the Province of Québec and applicable federal laws of Canada. The parties will first attempt good-faith informal resolution. Failing that, the courts of the district of Montréal (Québec) have exclusive jurisdiction.
16. Updates to the Terms
We may update these Terms from time to time. Material changes will be notified within the App or by email with a reasonable advance notice when required by law. Continued use after the effective date constitutes acceptance.
17. Miscellaneous
Entire Agreement. These Terms + referenced policies are the entire agreement.
Severability. If a provision is invalid, the remainder remains effective.
Assignment. You may not assign without our consent; Aurea may assign to an affiliate/successor.
Notices. We may contact you via the App, email, or your account details. You may contact us at contact@aureaapp.com.
Language (Québec). A French version of these Terms will be made available; in Québec, the French version prevails in case of discrepancy.
